- Introduction
These Terms & Conditions (“Terms”) govern access to and use of Fudikoo’s mobile applications, website, vendor tools, APIs, and related services (collectively, the “Platform”). “Fudikoo”, “we”, “us”, and “our” refer to the entity that owns and operates the Platform. “You” or “your” means any person or business using the Platform.
Fudikoo is a food-deals discovery and booking platform intended to connect customers with participating restaurants and other food-service providers. Depending on availability and the features enabled in a particular location, the Platform may display restaurant offers, discount deals, takeaway options, table-booking facilities, banquet packages, catering or event enquiries, digital coupons, and related services.
By accessing, registering for, or using the Platform, you agree to these Terms and the Fudikoo Privacy Policy. If you do not agree, do not use the Platform. Additional terms may apply to specific offers, campaigns, vendor agreements, payment services, or partner programmes. If those terms conflict with these Terms, the specific terms govern the relevant service to the extent of the conflict.
- Scope and Eligibility
These Terms apply to customers, website visitors, restaurant and café partners, catering providers, banquet or event venues, and other authorised business users. Certain features may be available only to registered users or approved vendors.
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or use account-based services. If you use the Platform on behalf of a business, you confirm that you are authorised to bind that business to these Terms.
The Platform may not be available in every location or for every user. Fudikoo may add, change, suspend, or discontinue features, subject to applicable law and any specific commitments already accepted by Fudikoo.
- Definitions
“Customer” means a person using the Platform to discover offers, request or make a booking, place an order, or enquire about a banquet, catering, or event service.
“Vendor” or “Restaurant Partner” means a restaurant, café, food outlet, caterer, banquet venue, or other food-service business listed on or using the Platform.
“Offer” means a discount, deal, coupon, package, menu item, or other promotion displayed by a Vendor through the Platform.
“Booking” means a reservation or request submitted through the Platform, including a table, takeaway, banquet, catering, or event-related request.
“Platform Content” means text, graphics, logos, images, software, interfaces, and other material provided by Fudikoo.
“User Content” means information, photographs, menus, reviews, messages, or other material submitted by a user or Vendor.
- Nature of Fudikoo’s Service
Fudikoo generally acts as a technology and discovery platform connecting Customers with independent Vendors. Unless a feature clearly states otherwise, Fudikoo is not the restaurant, food manufacturer, caterer, event venue, or direct provider of the food or venue service.
The Vendor is responsible for preparing and supplying food, honouring accepted offers, maintaining its premises, staff and licences, meeting food-safety and hygiene requirements, and providing the service described in its listing. The Customer’s purchase or service arrangement may be directly with the Vendor.
A listing, offer, enquiry, or booking request does not guarantee availability or acceptance. A booking is confirmed only when the Platform or Vendor communicates confirmation through the relevant channel. Fudikoo does not guarantee that every Vendor, listing, offer, or feature will remain available.
The Platform may display information provided by Vendors. Fudikoo may review or moderate listings but does not guarantee that every Vendor statement, image, menu, price, rating, or offer is complete, current, or error-free.
- Customer Accounts and Responsibilities
- Provide accurate, current, and complete registration and contact information, and update it when it changes.
- Keep login credentials and one-time passwords confidential. You are responsible for activity carried out through your account, except where applicable law provides otherwise.
- Use the Platform only for lawful purposes and do not impersonate another person, create fraudulent accounts, manipulate offers, or interfere with the Platform.
- Do not misuse, resell, duplicate, transfer, or commercially exploit a coupon or offer except where its terms expressly permit it.
- Check the offer conditions, validity, location, time restrictions, minimum spend, exclusions, and redemption instructions before placing a booking or visiting a Vendor.
- Treat Vendor staff and other users respectfully and provide truthful information in reviews, complaints, and support requests.
- Fudikoo may request verification or restrict account access where reasonably necessary for security, fraud prevention, legal compliance, or enforcement of these Terms.
- Offers, Discounts and Coupons
Offers are created, funded, and fulfilled by the relevant Vendor unless the offer explicitly states otherwise. Each offer may have its own conditions, including validity dates, service hours, eligible menu items, minimum spend, maximum discount, number of redemptions, party size, location, blackout dates, and exclusions.
Unless expressly stated in an offer, discounts cannot be exchanged for cash, combined with other promotions, transferred, or applied retrospectively. Offers may be limited by availability and may be withdrawn or corrected where permitted by law.
Customers must follow the redemption process shown in the Platform, which may include presenting a digital coupon, booking reference, QR code, or confirmation to the Vendor. A coupon may be rejected if it is expired, already redeemed, altered, duplicated, or not used in accordance with its conditions.
Fudikoo will make reasonable efforts to display offer terms clearly. If an offer contains a material error or is unavailable, Fudikoo or the Vendor may cancel or correct it, subject to applicable consumer-protection law.
- Table Bookings, Takeaway and Service Requests
The Platform may allow Customers to submit table reservations, takeaway orders, or other service requests. Availability, acceptance, preparation time, fulfilment, and any applicable charges are determined by the relevant Vendor and the specific feature used.
A request is not a confirmed booking or order until confirmation is issued. Customers must arrive at the agreed time, provide accurate details, and contact the Vendor or Fudikoo promptly if they need to change or cancel a request.
Where a Vendor requires advance payment, a deposit, a minimum spend, or other conditions, those requirements should be shown during the booking or order process. Do not assume that every booking is free of advance payment.
The Vendor is responsible for order accuracy, food quality, ingredients, allergens, packaging, preparation, delivery (if offered), and fulfilment. Customers should communicate allergies or dietary requirements directly to the Vendor and verify that the Vendor can accommodate them.
- Banquet, Catering and Event Enquiries
Fudikoo may enable Customers to submit enquiries for banquet halls, parties, functions, catering, group dining, or events. An enquiry or quotation request is not a confirmed booking, contract, or guarantee of venue availability.
The Vendor is responsible for providing accurate package details, capacity, inclusions, exclusions, taxes, service charges, payment schedules, cancellation terms, and any venue-specific rules. Customers should obtain written confirmation of the final quotation and all material terms directly through the approved process before paying or committing.
Any deposit, cancellation charge, refund, rescheduling arrangement, or dispute relating to the actual event service will be governed by the terms agreed with the Vendor and applicable law. Fudikoo’s role, if any, in payment collection or dispute assistance will depend on the feature and terms presented for that transaction.
- Payments, Fees and Refunds
Payment arrangements may differ by feature, Vendor, location, and transaction. Where the Platform supports payment, the checkout or transaction screen will identify the payment amount, any disclosed platform fee, taxes, and available payment methods before the Customer confirms the transaction.
Unless the transaction screen or a separate written agreement states otherwise, Fudikoo does not promise to collect payment for every booking or order. Some transactions may be paid directly to the Vendor.
Where Fudikoo charges a Vendor a commission, success fee, subscription, listing fee, or other commercial charge, the applicable amount and calculation method will be governed by the Vendor agreement or other written commercial terms. No particular fee should be assumed unless it has been agreed or displayed.
Refunds, reversals, cancellations, failed payments, chargebacks, and payment disputes will be handled according to the applicable transaction terms, payment provider rules, Vendor policy, and mandatory law. If Fudikoo processes a refund, processing time may depend on the bank or payment provider. Nothing in these Terms removes a consumer right that cannot legally be excluded.
Customers must not use stolen payment instruments, submit false payment claims, or deliberately exploit payment errors. Vendors must not request unauthorised payments or misrepresent charges.
- Vendor Registration and Responsibilities
Vendors must submit accurate business information and any documents reasonably required for verification, including applicable registrations, licences, tax information, menus, pricing, contact details, and business location. Fudikoo may approve, reject, suspend, or remove a listing based on its onboarding standards, verification results, platform integrity, or legal requirements.
- Maintain all licences, permits, registrations, insurance, and approvals required for the business and its services.
- Comply with applicable food-safety, hygiene, consumer-protection, labour, tax, advertising, accessibility, and other laws.
- Keep menus, prices, availability, offer terms, package details, photographs, opening hours, and contact information accurate and updated.
- Honour valid offers and confirmed bookings in accordance with the displayed terms, subject to lawful cancellation or genuine unavailability.
- Handle customer orders, food preparation, allergens, customer service, complaints, refunds, and fulfilment responsibly.
- Use customer data received through Fudikoo only for the relevant booking, order, enquiry, or other authorised purpose and protect it from unauthorised access or disclosure.
- Do not post unlawful, deceptive, discriminatory, misleading, infringing, or unsafe content, and do not manipulate reviews or bookings.
Vendors are responsible for the accuracy and legality of their User Content and business operations. Fudikoo may request corrections or evidence and may remove content or restrict a Vendor account where reasonably necessary.
- Vendor Commercial Terms
Any commission, success fee, payment settlement, lead fee, promotion fee, subscription, exclusivity arrangement, service-level commitment, or other commercial term between Fudikoo and a Vendor must be stated in a separate vendor agreement, onboarding document, or written confirmation. These Terms do not replace a signed or otherwise valid separate agreement.
Vendors must not misrepresent the origin of leads, circumvent agreed fees, manipulate transaction records, or use the Platform to facilitate fraud. Fudikoo may review relevant transaction records to verify compliance with agreed commercial terms, subject to applicable law.
Where a separate Vendor agreement conflicts with these Terms, the separate agreement will govern the commercial relationship to the extent of the conflict; these Terms will continue to govern general Platform use unless expressly stated otherwise.
- Reviews, Ratings and User Content
Users may be able to submit ratings, reviews, photographs, messages, or feedback. Content must be genuine, relevant, lawful, and based on the user's actual experience where it is presented as a review.
You must not submit defamatory, threatening, abusive, discriminatory, deceptive, spam, confidential, or infringing content; publish another person's personal information without a lawful basis; or offer incentives for fake reviews.
By submitting User Content, you grant Fudikoo a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, and use that content as reasonably necessary to operate, promote, and improve the Platform, subject to the Privacy Policy and applicable law. You retain ownership of your content.
Fudikoo may moderate, decline, remove, or restrict User Content where it reasonably believes the content breaches these Terms, applicable law, or platform standards. Fudikoo is not required to publish every submission.
- Intellectual Property
Fudikoo and its licensors retain all rights in the Platform, software, design, branding, logos, text, graphics, and other Platform Content, except for content owned by third parties or users. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose.
You must not copy, modify, reverse engineer, decompile, scrape, sell, distribute, or create derivative works from the Platform except where permitted by law or expressly authorised in writing.
Vendors grant Fudikoo permission to display their business names, logos, menus, photographs, offer details, and other submitted materials for listing, operating, and promoting their participation on the Platform. Vendors confirm they have the rights and permissions needed to provide those materials and may request updates or removal, subject to ongoing contractual and legal obligations.
- Prohibited Conduct
- Fraud, deception, impersonation, fake bookings, fake reviews, coupon abuse, or unauthorised payment activity.
- Attempting to access another user's or Vendor's account or data without permission.
- Introducing malware, bypassing security controls, disrupting the Platform, or conducting unauthorised vulnerability testing.
- Scraping, harvesting, or collecting data from the Platform through automated means without written permission.
- Using the Platform to violate laws, infringe intellectual-property rights, or harass or harm others.
- Circumventing agreed Vendor commercial terms or using customer details for unrelated marketing without the necessary permission.
Fudikoo may investigate suspected violations and take proportionate action, including content removal, account restriction, suspension, cancellation of fraudulent transactions where legally permitted, or referral to appropriate authorities.
- Third-Party Services and Links
The Platform may use or link to third-party services, including maps, analytics tools, communication providers, authentication services, payment gateways, app stores, or Vendor websites. Those services may be governed by their own terms and privacy policies.
Fudikoo does not control independent third-party services and is not responsible for their content, availability, security, or practices, except to the extent responsibility cannot be excluded under applicable law. A link or integration does not imply endorsement.
- Availability, Changes and Maintenance
Fudikoo aims to keep the Platform available and reliable but does not guarantee uninterrupted, error-free, or continuous access. Access may be affected by maintenance, updates, network issues, outages, security events, third-party failures, or circumstances beyond Fudikoo’s reasonable control.
Fudikoo may modify or discontinue a feature for operational, security, commercial, or legal reasons. Where reasonably practicable, Fudikoo will provide notice of material changes that affect active users or confirmed transactions.
- Disclaimers
To the maximum extent permitted by law, the Platform is provided on an “as available” basis. Fudikoo does not guarantee the accuracy of every listing, the availability of every offer, the quality or safety of a Vendor’s food or services, or that a particular outcome will result from using the Platform.
Vendors are independent businesses and are responsible for their own operations and services. Fudikoo does not make a general guarantee about food quality, ingredients, allergens, hygiene, venue safety, delivery, or the performance of a Vendor.
Nothing in these Terms excludes warranties, rights, or remedies that cannot lawfully be excluded under applicable consumer-protection law.
- Limitation of Liability
To the maximum extent permitted by applicable law, Fudikoo will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profits, data, goodwill, or business opportunity, arising from use of the Platform.
To the extent permitted by law, Fudikoo is not responsible for a Vendor’s independent acts or omissions, including food preparation, food safety, service delivery, venue conditions, or failure to honour a Vendor obligation. This clause does not exclude responsibility that applicable law imposes on Fudikoo or any liability that cannot legally be excluded.
Where permitted by law, Fudikoo’s total liability for claims arising from a particular Platform transaction will be limited to the amount, if any, paid directly to Fudikoo for the relevant Platform service during that transaction. This limit does not apply where prohibited by law, including to liability that cannot lawfully be limited.
You should obtain legal advice before publishing this section, particularly if Fudikoo will collect payments, act as a merchant of record, arrange delivery, or contract directly to supply services.
- Indemnity
To the extent permitted by law, a Vendor or business user agrees to indemnify Fudikoo against third-party claims, losses, and reasonable costs arising from its breach of these Terms, unlawful conduct, infringement of third-party rights, inaccurate listing information, or provision of its goods or services. This clause does not apply to the extent a claim results from Fudikoo’s own unlawful conduct or liability that cannot legally be shifted.
- Suspension and Termination
You may stop using the Platform at any time and may request account closure through the available account controls or by contacting Fudikoo. Account closure does not automatically cancel an existing booking, resolve an outstanding payment, or remove records that must lawfully be retained.
Fudikoo may suspend, restrict, or terminate access where reasonably necessary due to a breach of these Terms, suspected fraud, security risk, legal requirement, misuse, or cessation of a feature or service. Where appropriate and legally permitted, Fudikoo may provide notice and an opportunity to resolve the issue.
Terms that by their nature should continue after termination—including intellectual property, accrued payment obligations, disclaimers, liability limitations, dispute provisions, and legally required record retention—will survive termination.
- Privacy and Personal Data
Fudikoo’s collection and use of personal data is described in the Fudikoo Privacy Policy, which should be read together with these Terms. By using the Platform, you acknowledge the data practices described there. Where consent is legally required, it will be obtained through an appropriate process; acceptance of these Terms does not replace a separate consent required by law.
Users and Vendors must handle personal data received through the Platform in accordance with applicable data-protection laws and use it only for authorised purposes.
- Complaints and Customer Support
For help with a booking, offer, order, Vendor listing, or Platform issue, contact Fudikoo using the contact details below. Please provide the booking reference or transaction details, if available, and a clear description of the issue.
Fudikoo may help communicate with a Vendor or review a Platform issue, but unless a feature or written agreement expressly states otherwise, Fudikoo does not guarantee that it can resolve disputes between Customers and independent Vendors.
Privacy-related requests should be sent to privacy@fudikoo.com. General customer support contact: [Insert support email/phone].
- Changes to These Terms
Fudikoo may update these Terms to reflect changes in the Platform, business operations, security practices, or legal requirements. The updated version will display a revised effective or last-updated date. Where required by law, Fudikoo will provide notice or obtain consent for material changes.
Your continued use of the Platform after updated Terms take effect constitutes acceptance only to the extent recognised by applicable law. If you do not agree to the updated Terms, stop using the affected services.
- Governing Law and Dispute Resolution
These Terms are intended to be governed by the laws of India, subject to mandatory consumer-protection and other laws that apply to a user or transaction. Courts with competent jurisdiction in [Insert city and state, India] will have jurisdiction to the extent legally permitted.
Before starting formal proceedings, the parties may attempt to resolve a dispute in good faith through Fudikoo’s customer-support channel. This does not limit any right to approach a consumer forum, regulator, court, or other authority where permitted by law.
The governing-law and jurisdiction clause must be checked by Indian counsel and adjusted if Fudikoo operates in other countries or is subject to mandatory local jurisdiction rules.
- General Provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.
You may not transfer your rights or obligations under these Terms without Fudikoo’s prior written consent, except where applicable law provides otherwise. Fudikoo may assign its rights and obligations as part of a restructuring or transfer of the relevant business, subject to applicable law.
These Terms, together with the Privacy Policy and any applicable offer conditions or separate agreements, form the agreement governing your use of the Platform. They do not create an employment, agency, franchise, partnership, or joint-venture relationship unless a separate written agreement expressly establishes one.
Nothing in these Terms limits rights or remedies that cannot be waived under applicable law.
